The background on this requirement: In January 2024, a U.S. Government required registration for business owners was put in place. This registration involved businesses reporting their beneficial owners (called Beneficial Ownership Information), namely those persons who ultimately own or control the company. This information was to be part of a database for the U.S. Department of the Treasury’s Financial Crimes Enforcement Network (FinCEN). This registration is part of the Corporate Transparency Act passed by Congress in 2021. This Act was designed to identify and ferret out criminals, money launderers, and other bad actors who use companies to conceal their identities and bad deeds. This Act would also help minimize the burden on entities doing business in the United States. Registration is done ONLINE ONLY. Some business types are exempt from this registration.  

What this current Fraud Alert includes:
 
Be on the lookout – scammers may:
1) Mail a letter to businesses requesting payment for fees in relation to providing the Beneficial Ownership Information (BOI) and the letter may include a QR code for the recipient to scan.
2) Send an email to businesses with a link to click on OR an attachment to download in regard to providing information.
3) Send forms that are NOT legitimate U.S. Treasury forms (Form 4022 and an Important Compliance Notice) – these forms are fake and are used to get information.
4) Send a letter/other notification from an entity named the U.S. Business Regulations Department – there is no such department with the Federal Government.
BEWARE – All of the above are fraudulent scamming activities and the logos and documents scammers are using are made to look very legitimate. As a note, the logo used by scammers has FINCEN ALLIANCE on it – which is not the authentic name of the division. 

Deadlines for businesses filing their Beneficial Ownership Information with FinCEN: 

New businesses formed after 12/31/2023: They should file this information within 90 days of formation.

Businesses that existed before 01/01/2024 (when this requirement went into effect): Deadline for filing is 12/31/2024.

NOTE: There is action going on in the court system as of the date of this posting in regard to this requirement being enforced. It is unknown if any ruling will have a widespread effect on this registration requirement for all businesses. More information will be posted as a determination is made on the matter. In the meantime, business owners are to act in the best interest of their business.
